These Terms and Conditions ("Terms") govern your use of the AI-powered SMS receptionist service ("Service") operated by Digital Secretary USA LLC ("we," "us," or "our"). By using our Service, you agree to these Terms.
Digital Secretary USA provides an AI-powered SMS receptionist that handles appointment scheduling, customer inquiries, and business communications via text message on behalf of subscribing businesses ("Subscribers"). The Service integrates with Google Calendar and third-party SMS providers to deliver automated responses and manage appointments.
The Service is available to businesses operating in the United States. Subscribers must be at least 18 years of age and have the authority to bind their business to these Terms.

Our Service sends and receives SMS messages on behalf of Subscribers. By using our Service:
Subscribers agree to pay the monthly subscription fee as described at the time of signup. Fees are billed monthly and are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' written notice.
Our Service uses artificial intelligence to generate responses to customer inquiries. While we strive for accuracy, AI-generated responses may occasionally contain errors or misunderstandings. We are not liable for any damages arising from inaccurate AI-generated content. Subscribers are encouraged to review AI interactions and notify us of recurring issues so we can improve the system.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
All aspects of the Service, including software, AI models, and branding, are the intellectual property of Digital Secretary USA LLC. Subscribers may not copy, modify, or reverse-engineer any part of the Service.
To the maximum extent permitted by law, Digital Secretary USA LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, missed appointments, or business interruption, arising from your use of the Service. Our total liability shall not exceed the amount paid by the Subscriber in the three months preceding the claim.
We strive to maintain reliable service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify Subscribers of planned downtime.
Either party may terminate the subscription at any time. We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior. Upon termination, we will retain data for a reasonable period as described in our Privacy Policy.
We may update these Terms from time to time. We will notify Subscribers of material changes via email at least 15 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of the State of Rhode Island, without regard to conflict of law principles.
